Terms of Service
These terms govern your use of the TerritoryDB website and the TerritoryDB application during its open beta. By signing up for or using the beta, you agree to them.
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and [Legal Entity] ("TerritoryDB," "we," "us," or "our") governing your access to and use of the TerritoryDB website and application (collectively, the "Service"). If you do not agree to these Terms, do not use the Service.
2. Beta software
The Service is offered as an open beta for evaluation and feedback. You acknowledge that:

- ✓Features, pricing, and availability may change or be discontinued at any time without notice.
- ✓Beta access is invitation-only and may be limited, suspended, or revoked at our discretion.
- ✓You are responsible for maintaining your own backups and exports of any data you value.
3. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. If you are granted a beta account, you are responsible for the activity under your account and for keeping your login credentials secure. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account. Beta access is personal to you and is not transferable.
4. Your data
TerritoryDB is local-first. The accounts, notes, contacts, deals, and forecast data you create in the app are stored on your device, not on our servers. You retain ownership of that data. Our handling of the limited information we do collect, such as beta signup and authentication details, is described in our Privacy Policy. Because your working data lives on your device, its preservation and backup are your responsibility.
5. Acceptable use
You agree not to:
- ✓Use the Service for any unlawful purpose or in violation of any applicable law or third-party rights.
- ✓Reverse engineer, decompile, or attempt to extract source code, except where that restriction is prohibited by law.
- ✓Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its authentication, or related systems.
- ✓Resell, sublicense, or share beta access with anyone who has not been individually invited.
- ✓Use the Service to store or transmit data you are not authorized to handle, including under any employer or third-party confidentiality obligation.
6. Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve and develop the Service without obligation or compensation to you.
7. Intellectual property
The Service, including its software, design, branding, and content (excluding your own data), is owned by TerritoryDB and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose during the beta.
8. Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time, including ending the beta or changing how access works. We are not liable to you for any modification, suspension, or discontinuation of the Service.
9. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data will be preserved. This is beta software and you use it at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, TerritoryDB and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or fifty U.S. dollars. Because the beta is provided free of charge, you acknowledge that amount may be zero.
11. Indemnification
You agree to indemnify and hold harmless TerritoryDB and its operators from any claims, damages, or expenses arising out of your misuse of the Service or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, including for violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination, including ownership, disclaimers, and limitations of liability, will survive.
13. Governing law
These Terms are governed by the laws of [State/Country], without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in [State/Country] for any dispute that is not subject to other agreed resolution.
14. Changes to these Terms
