Terms of Service
These terms govern your use of the TerritoryDB website and the TerritoryDB application, including the free trial and paid subscriptions. By signing up for or using the Service, you agree to them.
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and Zach Adams, doing business as TerritoryDB ("TerritoryDB," "we," "us," or "our") governing your access to and use of the TerritoryDB website and application (collectively, the "Service"). If you do not agree to these Terms, do not use the Service.
2. Free trial, subscriptions, and billing
Use of the application requires a paid subscription after a free trial:
- ✓Free trial. New accounts receive a 7-day free trial with full access to the Service. If you cancel before the trial ends, you will not be charged.
- ✓Subscriptions. After the trial, access continues under the plan you selected (monthly or annual) at the then-current price, billed in advance, until cancelled.
- ✓AI features and fair use. Territory AI and AI Assist are included with your plan for ordinary individual use. To keep the Service sustainable, AI features are subject to reasonable fair-use limits, and we may throttle, limit, or suspend usage that is automated, scripted, shared across users, or otherwise clearly outside normal individual use. Free-trial accounts include a limited number of AI actions.
- ✓Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and except where required by law, fees already paid are non-refundable.
- ✓Payments. Payments are handled by a third-party payment processor. We do not store your full card details on our servers.
- ✓Price changes. We may change prices with advance notice; changes apply from your next billing period. Founding-member rates that we designate as locked will not be increased while your subscription remains continuously active.
- ✓Live demo. The public demo is free, requires no account, and stores none of your data.
The Service is under active development: features may change, be added, or be removed over time, and you are responsible for maintaining your own backups and exports of any data you value.
3. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for the activity under your account and for keeping your login credentials secure. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account. Your account and subscription are personal to you and are not transferable.
4. Your data
You retain ownership of the accounts, notes, contacts, deals, forecast, and install base data you create in the app ("Your Data"). By default, Your Data is stored locally — in your browser's storage and, when you link one, in a workspace file on your own device that the app keeps up to date.
Optional cloud sync. If you turn on cloud sync, the categories of Your Data you select (for example accounts, notes and activity, or deals and forecast) are stored with our backend provider so they can be synced across your devices. Your customers' install base data (assets, renewal and support dates, serials, and asset tags) is never synced to our servers; only reduced competitor-intel entries you choose to sync are included, as described in our Privacy Policy. Turning a sync category off deletes its cloud copy, and deleting your account deletes all of your synced data.
Because your working copy lives on your device, its preservation and backup remain your responsibility, and you should keep your own workspace file and exports. Our handling of account, authentication, and synced information is described in our Privacy Policy. You are responsible for ensuring that your use of the Service, including any use of cloud sync, complies with obligations you owe to your employer or other third parties.
5. Acceptable use
You agree not to:
- ✓Use the Service for any unlawful purpose or in violation of any applicable law or third-party rights.
- ✓Reverse engineer, decompile, or attempt to extract source code, except where that restriction is prohibited by law.
- ✓Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its authentication, or related systems.
- ✓Use automated scripts, bots, or bulk requests against the Service's AI features, or attempt to circumvent usage limits.
- ✓Resell, sublicense, or share your account or subscription access with others; each subscription covers one user.
- ✓Use the Service to store or transmit data you are not authorized to handle, including under any employer or third-party confidentiality obligation.
6. Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve and develop the Service without obligation or compensation to you.
7. Intellectual property
The Service, including its software, design, branding, and content (excluding your own data), is owned by TerritoryDB and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose while your trial or subscription is active.
8. Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time. We are not liable to you for any modification, suspension, or discontinuation of the Service.
9. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data will be preserved. You use the Service at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, TerritoryDB and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or fifty U.S. dollars.
11. Indemnification
You agree to indemnify and hold harmless TerritoryDB and its operators from any claims, damages, or expenses arising out of your misuse of the Service or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, including for violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination, including ownership, disclaimers, and limitations of liability, will survive.
13. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute that is not subject to other agreed resolution.
14. Changes to these Terms
We may update these Terms as the product evolves. We will update the "Last updated" date above, and continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
